data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p><span style=\"font-weight: 400;\">Art 335 &#8211;\u00a0 En el caso de transformaci\u00f3n o de funci\u00f3n de una Compa\u00f1\u00edas, el Superintendente exigir\u00e1 que se entreguen las acciones que desaparezcan.<\/span><\/p><p><span style=\"font-weight: 400;\">Art 338 \u2013 Para la fusi\u00f3n de cualquier compa\u00f1\u00eda en una compa\u00f1\u00eda nueva se acordar\u00e1 primero la disoluci\u00f3n y luego se proceder\u00e1 al traspaso en bloque de los respectivos patrimonios.<\/span><\/p><p><span style=\"font-weight: 400;\">Art 340 \u2013 La Compa\u00f1\u00eda absorbente deber\u00e1 aprobar las bases de la operaci\u00f3n y proyecto de reforma al contrato social en junta extraordinaria convocada especialmente al efecto.<\/span><\/p><p><span style=\"font-weight: 400;\">La escritura p\u00fablica de fusi\u00f3n ser\u00e1 aprobada por el juez o por la Superintendencia de Compa\u00f1\u00eda, en su caso, inscrita y publicada y surtida efecto desde el momento de su inscripci\u00f3n.<\/span><\/p><p><span style=\"font-weight: 400;\">Art 342 \u2013 la fusi\u00f3n\u00a0 de la compa\u00f1\u00eda ser\u00e1 aprobada por la Superintendencia conforme al Art. 340 en todos los casos en que alguna de las compa\u00f1\u00edas que se fusionen o la nueva compa\u00f1\u00eda sea de responsabilidad limitada, an\u00f3nima en comandita por acciones o de econom\u00eda mixta.<\/span><\/p><p><span style=\"font-weight: 400;\">Art 343 \u2013 Cuando una Compa\u00f1\u00eda se fusiones o absorba a otra u otras, la escritura contendr\u00e1, adem\u00e1s del balance final de las Compa\u00f1\u00edas fusionadas o absorbidas, las modificaciones estatutarias resultantes del aumento de capital de la compa\u00f1\u00eda absorbente y el n\u00famero de acciones que hayan de ser entregadas a cada uno de los nuevos accionistas.<\/span><\/p><p><strong>Base legal
